Parties
- DocuMind AI — Daniyal (AgenticCore), an independent operator based in Pakistan, contact daniyal@agenticcore.tech.
- Counterparty — the individual or company identified in the covering email or order form.
Each party may act as Discloser or Recipient.
1. Purpose
To evaluate and discuss a potential or existing commercial relationship involving DocuMind AI's service ("Purpose").
2. Confidential Information
"Confidential Information" means non-public information disclosed by one party to the other, in any form, that is marked confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. It includes business plans, customer lists, pricing, roadmap, source code, security details, and documents shared for evaluation.
Confidential Information does not include information that:
- is or becomes public without breach of this NDA;
- the Recipient already lawfully knew without a duty of confidence;
- the Recipient lawfully receives from a third party without a duty of confidence;
- the Recipient independently develops without use of the Discloser's Confidential Information.
3. Obligations
- Use Confidential Information only for the Purpose.
- Protect it with at least the same care as own confidential information, and no less than reasonable care.
- Disclose it only to employees, contractors, and advisors who need it for the Purpose and are bound by confidentiality obligations at least as protective as this NDA.
- Not reverse-engineer, decompile, or attempt to derive source code from anything shared, except to the extent applicable law prohibits such restriction.
4. Compelled disclosure
If the Recipient is required by law or court order to disclose Confidential Information, it will, where legally permitted, give the Discloser prompt notice so the Discloser can seek a protective order, and will disclose only what is legally required.
5. Term
This NDA starts on the date the counterparty first signs or accepts it and continues for two (2) years. Confidentiality obligations for information disclosed during the term survive for a further three (3) years after termination, and for trade secrets for as long as they remain trade secrets.
6. Return or destruction
On written request or at the end of the term, the Recipient will return or destroy Confidential Information in its possession, except copies held in routine backups or required to be retained by law, which remain subject to this NDA until deleted.
7. No licence, no obligation
Nothing in this NDA grants any licence to intellectual property or obligates either party to enter into any further agreement or purchase.
8. No warranty
Confidential Information is provided "as is". Neither party makes any warranty about accuracy or completeness.
9. Remedies
Money damages may not be sufficient for a breach of this NDA and the Discloser may seek injunctive relief in addition to any other remedies.
10. Governing law
This NDA is governed by the laws of the Islamic Republic of Pakistan and the parties submit to the exclusive jurisdiction of the courts of Karachi, Pakistan, unless otherwise agreed in writing.
11. Entire agreement
This NDA is the entire agreement between the parties on confidentiality for the Purpose and supersedes prior discussions on the same subject.
